The Senior Paralegal – Real Estate will provide support to the Mosaic Law Department on a wide variety of real estate, contracts, intellectual property and legal compliance matters in North America. This role will be responsible for directly supporting real estate transactions, provide paralegal support for contracts and litigation, and perform legal research as assigned.
What will you do?
Real Estate Transactions: Participate in all aspects and stages of real estate transactions, with an emphasis on acquisition and sales due diligence review (including title and survey), document preparation, closing logistics/mechanics coordination and post-closing follow-up. Coordinate with attorneys and internal business partners and provide support for the preparation, drafting, editing and negotiation of real estate documentation, which can include purchase and sale agreements, closing documents, leases, amendments, extensions, assignments, terminations, access and license agreements, easements, confidentiality agreements, estoppel certificates, non-disturbance agreements, etc. Review documents to confirm that agreed changes have been incorporated into final documents, cross-references are correct, etc. Summarize material terms of contracts (including declarations, covenants, leases, and other real estate documents). Support due diligence activities in connection with M&A activity, including post-closing integration and administration. Review due diligence and responds to due diligence requests. Appropriately escalate issues to assigned Mosaic attorneys and external counsel.
Contracts and Litigation Support: Review and draft complex contract documents, which can include purchase order and service agreements, software licensing agreements, confidentiality agreements and other appropriate documents. Provide general litigation support for Mosaic North America, which can include assessing cases, investigating and determining facts, coordinating discovery, monitoring case progress and bringing cases to closure.
Intellectual Property Support: Participate in and provide support for Mosaic’s global patent and trademark processes with a core set of administrative tasks and responsibilities. Support Mosaic attorneys and business units with patent and trademark dockets, including vetting and taking action on deadlines and regulatory requirements.
Legal Research: Perform legal and factual research and investigation using research databases and other resources as assigned by attorneys.
Projects: Lead and participate in projects as assigned. Other miscellaneous job duties as assigned.
What do you need for this role?
Two or four-year paralegal degree and paralegal certificate required.
Bachelor's degree in law or a related field and a paralegal certificate preferred.
5+ years of paralegal experience supporting real estate transactions and contract support within a law firm or a corporate law department.
Intellectual property support experience a plus.
Strong computer skills, which includes proficiency with Microsoft Office (Word, Excel, PowerPoint, and Outlook).
Strong verbal, written and listening communication skills.
Strong interpersonal, coaching and influencing skills.
Demonstrated leadership and relationship-building skills are required.
Ability to handle highly confidential and sensitive information.
Ability to effectively work and create effective partnerships with employees at all levels within the organization.
